Sellers Terms & Conditions

1. Introduction

These Seller Terms and Conditions (“Agreement”) govern the relationship between LibanMall (“Platform”, “we”, “us”, or “our”) and any person or business registering as a seller (“Seller”, “you”, or “your”) on the LibanMall marketplace.

By registering as a seller, listing products, or using the seller services on LibanMall, you confirm that you have read, understood, and agreed to be bound by this Agreement.

2. Nature of the Platform

LibanMall is an online marketplace that enables independent sellers to display and sell products to customers.

LibanMall provides the technical platform only. Unless expressly stated otherwise, LibanMall is not the owner, manufacturer, importer, distributor, or reseller of products listed by sellers. The sales contract for each order is concluded directly between the Seller and the customer.

3. Seller Eligibility

To register and sell on LibanMall, you must:

  • be at least 18 years old;

  • have the legal capacity to enter into binding contracts;

  • provide accurate, complete, and up-to-date registration information;

  • have all permits, approvals, licenses, and authorizations required to sell your products;

  • comply with all applicable laws and regulations in Lebanon and in any territory where you offer delivery.

If you are registering on behalf of a company or business, you confirm that you are authorized to bind that entity to this Agreement.

4. Seller Account

You are responsible for:

  • maintaining the confidentiality of your login credentials;

  • all activity carried out through your seller account;

  • ensuring your contact details, store information, and payout information remain accurate.

LibanMall may suspend or restrict access to your account if we reasonably believe that:

  • your account information is false or misleading;

  • your account is being misused;

  • your activity creates legal, operational, reputational, or security risk for the Platform or its users.

5. Product Listings

The Seller is solely responsible for all product listings published on LibanMall, including:

  • product titles;

  • descriptions;

  • images;

  • prices;

  • specifications;

  • categories;

  • variations;

  • stock levels;

  • delivery information.

You agree that all listings must be:

  • truthful, accurate, and not misleading;

  • lawful and compliant with applicable product and advertising laws;

  • written in clear language;

  • supported by genuine images or authorized product images;

  • updated promptly when product details, pricing, or stock change.

You may not list prohibited, counterfeit, stolen, unsafe, infringing, illegal, or restricted goods.

6. Seller Responsibilities

The Seller is fully responsible for:

  • the legality of products offered for sale;

  • product quality, authenticity, and safety;

  • accurate stock availability;

  • proper packaging and dispatch;

  • delivery performance where delivery is managed by the Seller;

  • customer support relating to the Seller’s products;

  • honoring valid orders;

  • handling returns, refunds, replacements, and complaints in line with applicable law and LibanMall policies.

The Seller must not engage in fraud, deceptive conduct, false advertising, fake reviews, price manipulation, or any conduct that harms customers or the reputation of LibanMall.

7. Pricing

The Seller is free to set product prices unless LibanMall introduces specific pricing rules for promotions, campaigns, or technical requirements.

The Seller must ensure that all prices shown on the platform are accurate and clearly reflect the actual selling price payable by the customer, excluding or including shipping and other charges as displayed on the website.

Once an order is accepted, the Seller may not unilaterally change the price for that order except where cancellation is expressly permitted under this Agreement or applicable policy. Lebanese consumer-protection guidance for e-commerce emphasizes transparency in pricing and conditions, and commentary on Lebanese online sales also notes that accepted online sales must remain compliant with consumer-protection and electronic-transactions rules.

8. Orders and Fulfilment

When a customer places an order for a Seller’s product, the Seller must:

  • review and process the order promptly;

  • prepare and dispatch the order within the stated timeframe;

  • keep order status updated;

  • notify LibanMall and/or the customer promptly of any delay, shortage, or inability to fulfil.

The Seller must not cancel accepted orders without valid reason. Valid reasons may include:

  • genuine stock unavailability;

  • pricing error clearly caused by a technical mistake;

  • suspected fraud;

  • delivery impossibility;

  • force majeure events.

Repeated cancellations, delays, or poor fulfilment may result in warnings, account restrictions, or suspension.

9. Shipping and Delivery

Where shipping is managed by the Seller, the Seller is solely responsible for:

  • defining shipping areas and rates;

  • ensuring shipping information is accurate;

  • dispatching orders on time;

  • ensuring delivery is performed properly and safely;

  • resolving delivery complaints related to the Seller’s operations.

The Seller bears the risk of loss or damage until the order is delivered to the customer, unless otherwise stated by mandatory law or approved shipping policy.

10. Returns, Refunds, and Customer Complaints

The Seller agrees to cooperate fully with LibanMall in handling customer complaints, return requests, refund claims, and disputes.

The Seller must maintain a fair and transparent returns and refunds process consistent with:

  • Lebanese consumer protection requirements;

  • any mandatory product warranty obligations;

  • LibanMall’s published return/refund rules.

Where a refund is due because of a defective, incorrect, misleading, damaged, or undelivered item attributable to the Seller, the Seller shall bear the cost of that refund unless LibanMall decides otherwise in writing.

11. Prohibited Products and Conduct

The Seller may not sell or promote:

  • illegal goods;

  • counterfeit or infringing goods;

  • stolen goods;

  • unsafe or defective goods;

  • products requiring licenses the Seller does not hold;

  • products that violate public morals or applicable regulations;

  • products that infringe trademarks, copyrights, patents, or other rights.

The Seller may not:

  • manipulate listings or search rankings;

  • post misleading content;

  • use fake discounts;

  • avoid marketplace fees through off-platform selling arrangements initiated through LibanMall;

  • misuse customer data;

  • interfere with the operation or security of the Platform.

12. Intellectual Property

The Seller represents and warrants that all content uploaded to LibanMall, including logos, product descriptions, images, and trademarks, is owned by the Seller or used with proper authorization.

The Seller grants LibanMall a non-exclusive, royalty-free right to use, reproduce, display, adapt, and distribute such content for the purpose of operating, promoting, and improving the marketplace.

The Seller shall be solely responsible for any claim that its listings, content, or products infringe the rights of any third party.

13. Seller Data and Customer Data

The Seller must handle any customer personal data strictly for order fulfilment, support, and legally permitted business purposes.

The Seller must not:

  • collect unnecessary customer data;

  • use customer data for unauthorized marketing;

  • sell, disclose, or misuse customer data;

  • retain customer data longer than needed for lawful purposes.

Lebanon’s Law No. 81/2018 addresses both electronic transactions and personal data, so seller handling of customer information should align with those obligations.

14. Fees and Payments

The Seller agrees to pay LibanMall the applicable seller fees, subscription fees, commissions, service charges, advertising fees, or other charges as published by LibanMall from time to time.

LibanMall may deduct applicable charges, refunds, chargebacks, penalties, or other approved sums before releasing payments to the Seller.

Payout timing, settlement cycles, and payment methods will be governed by LibanMall’s payment policy or seller dashboard settings.

15. Taxes and Invoices

The Seller is solely responsible for:

  • determining and complying with tax obligations;

  • issuing invoices where required;

  • reporting sales and income where legally required;

  • paying VAT, customs, duties, municipal taxes, or any other charges applicable to its business.

LibanMall is not responsible for the Seller’s tax reporting or tax compliance unless expressly required by law.

16. Platform Rights and Enforcement

LibanMall reserves the right, at its sole discretion, to:

  • review seller listings;

  • remove or disable listings;

  • request additional documents or proof;

  • investigate complaints;

  • withhold payouts where fraud, dispute, or legal risk is suspected;

  • suspend or terminate seller accounts for breach of this Agreement or platform policies.

LibanMall may take action without prior notice where necessary to protect customers, the Platform, other sellers, or compliance interests.

17. Suspension and Termination

LibanMall may suspend or terminate the Seller’s account immediately if the Seller:

  • breaches this Agreement;

  • sells prohibited or unlawful products;

  • repeatedly fails to fulfil orders properly;

  • causes customer harm or repeated complaints;

  • engages in fraud or misconduct;

  • exposes LibanMall to legal or reputational risk.

The Seller may request account closure by written notice, subject to completion of all outstanding orders, refund obligations, disputes, and financial settlements.

Termination does not affect rights or obligations that arose before termination.

18. Indemnity

The Seller agrees to indemnify and hold harmless LibanMall, its owners, directors, employees, affiliates, and service providers from and against any claims, losses, liabilities, damages, penalties, costs, and expenses arising out of or related to:

  • the Seller’s products;

  • the Seller’s listings;

  • product defects or safety issues;

  • breach of law;

  • infringement of third-party rights;

  • inaccurate or misleading information;

  • the Seller’s breach of this Agreement.

19. Limitation of Liability

To the maximum extent permitted by law, LibanMall shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profit, loss of reputation, loss of sales, or business interruption arising from the Seller’s use of the Platform.

LibanMall’s total liability to the Seller for any claim arising under this Agreement shall not exceed the total fees paid by the Seller to LibanMall during the [3 / 6 / 12]-month period preceding the event giving rise to the claim.

Nothing in this Agreement excludes liability where such exclusion is not permitted by applicable law.

20. No Employment or Partnership

Nothing in this Agreement creates any partnership, joint venture, agency, franchise, or employment relationship between LibanMall and the Seller.

The Seller acts as an independent business.

21. Changes to the Agreement

LibanMall may update these Seller Terms and Conditions from time to time.

Updated terms shall become effective upon posting on the website or upon notice to the Seller. Continued use of the Platform after such update constitutes acceptance of the revised terms.

22. Governing Law and Disputes

This Agreement shall be governed by the laws of the Republic of Lebanon.

Any dispute arising out of or in connection with this Agreement shall be subject to the jurisdiction of the competent courts of Lebanon, unless LibanMall chooses an alternative dispute process or mandatory law requires otherwise.
